These are the terms attached to a TicApp quotation. We publish them because
the clauses that cause trouble are the ones people read after something has
already gone wrong — the Apple developer fee, the design lock, and what
happens to an app if the Shopify store closes.
The three worth reading first
Store fees are yours
Shopify subscription, payment gateway fees, and the Apple and Google
developer accounts are paid by you, not included in the project cost.
Clause 1.
Approved design is locked
Once you approve the design in writing, development starts against it.
Changes after that are quoted separately and extend the timeline.
Clause 4.
The app needs the store alive
If the Shopify subscription lapses, the app stops working — products,
checkout and accounts all depend on it.
Clause 13.
1
Excluded costs
The project cost does not include the following. These are paid directly by the client.
Shopify subscription or membership fees
Third-party applications, plugins or platform charges
Payment gateway setup or transaction fees
Shipping, logistics or courier service fees
Media production — images, video, copywriting
Apple and Google Play developer account fees
Apple offers two membership types: an Individual Developer Account and an Organization (Business) Developer Account. Each has different pricing, eligibility requirements, verification procedures and terms, decided solely by Apple. The client selects the account type, completes any verification, maintains the membership and pays the fees. We are not responsible for pricing differences, approval delays, verification issues, policy changes or account suspension by Apple.
2
Third-party services
We are not responsible for the performance, availability, downtime, errors, security, pricing, policy changes or limitations of any third-party service, including:
Shopify platform services
Payment gateways
Shipping and logistics providers
Email, analytics, notification and currency services
Third-party applications or plugins
The client maintains the accounts and agreements with all third-party providers.
3
Free technical support
One year of free technical support runs from the date of delivery.
Included
Bug fixes on delivered features
Minor configuration or UI adjustments
Not included
Major feature enhancements or new modules
Redesigns or layout changes
Platform migration or upgrades
Third-party service troubleshooting
API changes or third-party app issues
Anything in the second column is treated as new billable work.
4
Design approval and changes
All UI and UX designs require written approval. Once approved, the design is final and locked, and no design changes are made after development begins within the agreed scope.
A post-approval design change is treated as a change request
It carries additional cost
It extends the timeline
It requires a separate quotation
We are not responsible for delays caused by changes made after approval.
5
Change requests
Any request outside the approved scope may affect cost and timeline. All change requests require written approval and may be quoted separately.
6
Content and sample data
We populate the system with demo content for testing, up to twenty-five sample products or services with basic details.
The client uploads the final content, images, pricing and descriptions
The client manages and maintains all data after delivery
Data entry beyond twenty-five items is out of scope and quoted separately.
7
Languages and translation
Additional languages are implemented using Shopify language tools or plugins. Translations are system-generated or client-managed.
We are not responsible for translation accuracy or wording quality
We do not provide manual translation or language corrections
Professional translation, if required, is quoted separately.
8
Currency and payment gateways
Multi-currency display and processing depend entirely on the payment gateway the client selects. We are not responsible for currency availability, exchange rates, rounding or transaction behaviour.
The client confirms supported currencies directly with the gateway provider
The client manages all gateway approvals and configuration
9
Client responsibilities
The client is responsible for:
Providing content, feedback and approvals on time
Compliance with applicable laws and regulations
Managing all third-party services and subscriptions
Delays in approvals, content or payment may affect the timeline.
10
Delays and liability
We are not responsible for delays caused by:
Late or partial payment
Delayed feedback or approvals
Third-party service providers
Shopify platform limitations
Apple App Store or Google Play review timelines
11
Shopify mobile application — process and scope
This clause applies to Shopify-based mobile applications.
11.1What we need from you
Your Shopify store URL
The mobile app features you require
A list of every third-party Shopify app in use
Your preferred UI/UX option — ready-made or custom
An undisclosed app or feature may affect feasibility, cost and timeline.
11.2Store review
Store accessibility and status
Shopify plan and configuration
Product structure, collections and checkout flow
Active languages and currencies
Limits imposed by a Shopify plan or store configuration are outside our responsibility.
11.3Third-party app review
Each app is identified as an official Shopify app or an external one
We check for public or private APIs, Shopify-supported APIs and mobile integration support
API availability alone does not guarantee integration; it remains subject to technical approval.
11.4API review and integration approval
Where APIs exist, we review documentation, security and authentication, the data available, performance and rate limits, and compatibility with Shopify APIs and the app architecture
Approved means integration is technically feasible. Rejected means the APIs exist but are not compatible. Technical decisions are final
Where APIs do not exist, the feature cannot be integrated — you may exclude it at no cost or timeline impact, or request APIs from the provider
If APIs are provided later, technical approval is required, additional cost and time apply, and integration is still not guaranteed.
11.5Custom development
Where Shopify native APIs are insufficient, custom backend or middleware may be required
Additional development time and cost apply
This work proceeds only after written approval.
11.6Design options
Ready-made UI/UX is the default — pre-built templates, faster delivery, no additional cost
Custom UI/UX is fully bespoke, with additional cost and an extended timeline
11.7Timeline and cost
Both are based on the approved features, the API dependencies and the design option chosen
Changes after approval are governed by clause 5.
11.8Starting the project
Written approval of scope, timeline and cost
A signed agreement
Receipt of the initial payment
11.9Store submission and review
We submit to the Apple App Store and Google Play
Review timelines are controlled solely by Apple and Google
Store-requested or policy-related changes may require additional work
Out-of-scope changes may carry additional cost and extend the launch.
11.10Launch and after
The app is published once the stores approve it, and you are notified on launch
Support then follows the free technical support policy in clause 3
12
Final disclaimer
Third-party integrations depend on API availability and technical compatibility
Shopify platform limitations and app store policies are outside our control
App Store and Google Play approval timelines are not guaranteed
Scope changes or platform-driven requirements may add cost and extend timelines
13
If the Shopify store closes
A Shopify-based mobile app depends entirely on an active Shopify subscription. If the store is closed, the subscription is cancelled or suspended, services are not renewed, or Shopify terminates the store:
The app will cease to function properly
Product data, checkout, customer accounts and every store-connected feature stop working
We bear no responsibility for loss, interruption or malfunction resulting from store inactivity.
If the store is reactivated later, the previous app project does not automatically resume. A new setup, technical review and development process is required, with a new quotation and timeline. Reactivation is treated as a new project.
14
If the app is removed from the stores
If the client deletes the app, requests permanent removal, loses access to the Apple Developer or Google Play Console account, fails to renew a developer membership, or the app is removed for a policy violation:
The app will no longer be publicly available
We are not responsible for account suspension, policy violations or membership expiry
Re-publishing requires a new mobile application project setup, a fresh submission, compliance review and testing, with a new cost and timeline.
This applies to the mobile application only. If the Shopify web store remains active, the web store is unaffected.
These terms accompany a written quotation. Where a signed quotation says
something different, the signed quotation is what applies.
Questions about any of this?
Ask before you sign rather than after. We would rather spend the call on clause 11 than argue about it in month three.
